Annualising makes the 1, 3 and 5 year rows a cost of ownership rather than a payment schedule: a biennial state charges its whole report fee in the years it falls due and nothing in between. Filing Fees & Formation Costs

Arizona charges $50 to form an LLC, while Tennessee charges $300. Arizona is $250 cheaper upfront. The cost that usually gets overlooked: if you form in Tennessee but operate in Arizona, you must also register as a foreign LLC in Arizona (a $150 filing) and maintain a registered agent in Tennessee (typically around $150 per year). That puts the realistic first-year cost of the Tennessee route at roughly $600, versus $50 for simply forming in Arizona. Note that Arizona also requires newly formed LLCs to publish a newspaper notice (Arizona requires a notice of the filing to be published for three consecutive publications in a newspaper in the county of the statutory agent's address, unless that county's population exceeds 800,000, currently Maricopa and Pima, in which case the Corporation Commission posts the notice itself, free of charge), which adds to the true formation cost. Speed isn't a basis for choosing between them: neither Arizona nor Tennessee publishes a standard processing time, so any figure comparing the two is guesswork.
