Costs include every mandatory state charge: the filing fee, the report fee (annualised where a state files biennially), any state entity-level tax shown in its own row above, a one-time publication cost where a state requires publication, and any one-time registration charge a state requires before the LLC may trade. Annualising makes the 1, 3 and 5 year rows a cost of ownership rather than a payment schedule: a biennial state charges its whole report fee in the years it falls due and nothing in between. Entity-level taxes that only apply after a corporate election, or above an owner or income threshold, are excluded and flagged on the state's own cost page. New York's publication cost is carried at a $250 floor, roughly $200 of newspaper cost in a low-cost county plus the $50 Certificate of Publication fee. No county-clerk-designated New York City newspaper publishes a rate card, so the four-figure NYC estimates in wide circulation cannot be traced to a primary source and are not asserted here; budget for materially more than the floor if you file in a NYC county. Montana's annual report is free when filed by April 15 and $35 after, a waiver the Secretary of State applies at its discretion. Every fee was verified against the state's own fee schedule, statute, or revenue authority on 29 July 2026. Excludes registered agent and legal fees. Filing Fees & Formation Costs

Nebraska charges $100 to form an LLC, while North Carolina charges $125. Nebraska is $25 cheaper upfront. The cost that usually gets overlooked: if you form in North Carolina but operate in Nebraska, you must also register as a foreign LLC in Nebraska (a $100 filing) and maintain a registered agent in North Carolina (typically around $150 per year). That puts the realistic first-year cost of the North Carolina route at roughly $375, versus $100 for simply forming in Nebraska. Note that Nebraska also requires newly formed LLCs to publish a newspaper notice (Confirmed: Neb. Rev. Stat. § 21-193 requires notice of organization (and of amendment, merger, conversion, or domestication) to be published for three successive weeks in a legal newspaper of general circulation near the LLC's designated office, with proof of publication filed with the Secretary of State), which adds to the true formation cost. Only one side of this comparison is knowable: North Carolina publishes 15-20 business days, while Nebraska publishes no standard processing time, so the two can't be ranked against each other on speed.

Taxes: Nebraska vs North Carolina

Both Nebraska and North Carolina levy a personal income tax on pass-through business income, and your LLC's profits will be taxed where you live and operate. Forming in North Carolina doesn't change what a Nebraska-based owner pays. Nebraska levies individual income tax; under LB 754's phase-down codified at Neb. Rev. Stat. § 77-2715.03, the top rate is 4.55% for tax years beginning in 2026 (falling to 3.99% in 2027). Neither state imposes a separate franchise or privilege tax on LLCs beyond standard filing fees.

Privacy & Asset Protection

Nebraska, your home state, actually offers more formation privacy than North Carolina: Nebraska allows anonymous LLC formation, while North Carolina requires owner or manager information on public filings. North Carolina's annual report and foreign application provide manager/member information, public records. Both states provide charging-order protection for LLC members, and for most small businesses the practical difference in asset protection between the two is minimal. From a privacy standpoint there's no reason for a Nebraska-based business to form in North Carolina.

Annual Maintenance Costs

Nebraska LLCs file a biennial report ($25, due April 1, every two years), and North Carolina LLCs file an annual report ($200, due April 15). If you form in North Carolina while operating in Nebraska, you maintain filings in both states, North Carolina's report plus Nebraska's equivalent for your foreign registration, and pay a North Carolina registered agent roughly $150 per year. That brings ongoing costs of the North Carolina route to roughly $375 per year, versus about $25 to keep a domestic Nebraska LLC in good standing.

When North Carolina Actually Makes Sense

Forming in North Carolina makes sense in a few specific situations: your business genuinely operates in North Carolina, with a real office, employees, or property there, or you're relocating to North Carolina in the near future. For a typical small business based in Nebraska, none of these usually apply. Registering a North Carolina LLC to do business back home means $100 in Nebraska foreign-registration fees, on top of North Carolina's $125 formation fee, while Nebraska's own biennial report runs $25 and is due April 1, every two years. Nebraska already allows anonymous formation, so the privacy argument for North Carolina doesn't apply to a Nebraska-based owner. When in doubt, form where you actually do business.
