He built MyStateLLC to provide the free, state-specific LLC guidance he wished existed when forming his own companies.

A South Dakota LLC is generally eligible for Shopify Payments verification — you will need to provide your Articles of Organization, EIN, beneficial-owner ID, and a valid US business address. Nothing about forming in South Dakota blocks approval, and nothing about it guarantees approval either: the final call is Shopify Payments's.

Shopify Payments (powered by Stripe) requires identity and business verification before activating payouts for your store. For a South Dakota LLC, Shopify collects the IRS-registered business name, the EIN, a physical US address, and personal information for the account representative and any 25%+ beneficial owners. Single-member and multi-member South Dakota LLCs follow the same base checklist, with multi-member LLCs needing details on all qualifying owners.

In South Dakota the entity behind that check is an LLC created by filing Articles of Organization, which costs $150. South Dakota does not publish a processing time for LLC filings, so treat state approval as the open-ended step in your timeline rather than the Shopify Payments review. Because South Dakota names a member or manager on a routine public filing, the owner name Shopify Payments asks you to confirm is already a matter of public record.

Not legal advice: Verification requirements change, and so do South Dakota's filing fees and forms. Confirm current platform rules with Shopify Payments, and current filing rules with the South Dakota filing office, before you file. Shopify Payments's requirements were last reviewed 2026-07-21, and South Dakota's figures on this page come from its own published schedule.

What Shopify Payments requires, and how a South Dakota LLC meets each

RequirementHow your South Dakota LLC satisfies it
IRS-registered business nameUse the exact LLC name as South Dakota recorded it on your Articles of Organization; it must match your bank account holder name.
Employer Identification Number (EIN)Provide your federal EIN (free from the IRS; non-US founders without an SSN must apply via Form SS-4 by fax or phone rather than the online tool) — independent of South Dakota.
Physical US business addressUse a US street address registered to the LLC in South Dakota (your South Dakota registered-agent or virtual business address), since a PO box is usually rejected.
Owner / representative identityProvide a government ID for each beneficial owner named in your South Dakota filings. South Dakota names a member or manager on a routine public filing, so at least one name already matches state records.
ACH-eligible checking accountLink a US business bank account opened with your EIN and your South Dakota Articles of Organization.
Active business phone numberProvide a reachable phone number for the verification code. South Dakota does not put a phone number on the LLC filing, so this one is a platform check with no state record behind it.

South Dakota-specific things to watch

  • South Dakota names a member or manager on a routine public filing, so Shopify Payments's beneficial-owner check will line up with public state records — you still upload a government ID for each owner. (South Dakota's annual report confirms the LLC's ownership/management each year on the public record.)
  • Shopify Payments payouts flow through to your personal return, and South Dakota won't tax them under a personal income tax: No personal income tax.

South Dakota sales tax & nexus rules for Shopify Payments sellers

South Dakota charges a 4.2% state sales-tax rate. Payments through Shopify Payments are not covered by marketplace-facilitator laws — you collect and remit yourself. Registration is required before your first taxable sale if you have physical presence in South Dakota (an in-state location, inventory, or employees), or once you cross South Dakota's remote-seller economic-nexus threshold of $100,000 in sales in the previous or current calendar year (no transaction-count threshold).

South Dakota is the state that brought us economic nexus — its law was the subject of South Dakota v. Wayfair (2018), the Supreme Court case that allowed states to tax remote sellers. South Dakota broadly taxes services, digital goods, and SaaS. The state is an SST full member. South Dakota's 4.2% base rate is among the lower rates nationally. Note: South Dakota repealed its 200-transaction economic-nexus trigger (effective 2023); only the $100,000 sales threshold now applies.

How to verify your South Dakota LLC on Shopify Payments

  1. IRS-registered business name. Use the exact LLC name as South Dakota recorded it on your Articles of Organization; it must match your bank account holder name.
  2. Employer Identification Number (EIN). Provide your federal EIN (free from the IRS; non-US founders without an SSN must apply via Form SS-4 by fax or phone rather than the online tool) — independent of South Dakota.
  3. Physical US business address. Use a US street address registered to the LLC in South Dakota (your South Dakota registered-agent or virtual business address), since a PO box is usually rejected.
  4. Owner / representative identity. Provide a government ID for each beneficial owner named in your South Dakota filings. South Dakota names a member or manager on a routine public filing, so at least one name already matches state records.
  5. ACH-eligible checking account. Link a US business bank account opened with your EIN and your South Dakota Articles of Organization.
  6. Active business phone number. Provide a reachable phone number for the verification code. South Dakota does not put a phone number on the LLC filing, so this one is a platform check with no state record behind it.

Non-US founders with South Dakota LLCs

Shopify Payments requires personal identity information for the account representative, whichever state the LLC was formed in. For non-US representatives, Shopify's documentation indicates a passport photograph may be accepted in lieu of an SSN or ITIN for LLC entity types, so confirm that option during onboarding. If a government photo ID is not accepted, the alternatives are designating a US-resident representative who can provide a US SSN, or applying for an ITIN via Form W-7 if the founder has US tax-filing obligations. The entity itself must be US-registered, and a South Dakota LLC qualifies on that count.
