New Hampshire-specific things to watch

  • New Hampshire names a member or manager on a routine public filing, so Shopify Payments's beneficial-owner check will line up with public state records — you still upload a government ID for each owner. (The Certificate of Formation (RSA 304-C:31) does not require member/manager names, but the annual report (RSA 304-C:194) must set forth the names and business addresses of the LLC's managers or, if there are no managers, at least one member, so ownership/management cannot stay off all routine public filings.)
  • New Hampshire issues a Certificate of Formation rather than "Articles of Organization." When Shopify Payments asks for "formation documents," upload your Certificate of Formation.
  • Budget for New Hampshire's ongoing LLC costs before projecting your Shopify Payments margins: Business Profits Tax of 7.5% applies to LLCs with gross business income over $109,000 (threshold for periods beginning on/after 1/1/2025), and Business Enterprise Tax of 0.55% applies over $298,000 of gross receipts or enterprise value tax base. Both beyond the $100 annual report fee.

Sales tax: none in New Hampshire

New Hampshire has no statewide sales tax, so there is no New Hampshire sales-tax registration to complete before you start taking payments through Shopify Payments. That is a New Hampshire exemption and nothing more: once your sales into another state cross that state's economic-nexus threshold, you owe its tax on those orders no matter that your LLC is a New Hampshire one.

New Hampshire has no sales tax and no economic nexus law, making it one of the most business-friendly states for remote sellers. There are no local sales taxes either. Note that New Hampshire does have a Business Enterprise Tax (BET) and Business Profits Tax (BPT) on income earned in the state, which are different from sales taxes.

Shopify Payments requires personal identity information for the account representative, whichever state the LLC was formed in. For non-US representatives, Shopify's documentation indicates a passport photograph may be accepted in lieu of an SSN or ITIN for LLC entity types, so confirm that option during onboarding. If a government photo ID is not accepted, the alternatives are designating a US-resident representative who can provide a US SSN, or applying for an ITIN via Form W-7 if the founder has US tax-filing obligations. The entity itself must be US-registered, and a New Hampshire LLC qualifies on that count.
