What you actually pay in New Mexico

New Mexico is one of the cheapest states to keep an LLC alive: $50 for the Articles of Organization and then nothing recurring, because the Limited Liability Company Act requires no annual or biennial report and a default-classified LLC owes no entity-level state tax (the $50 Corporate Franchise Tax reaches only LLCs taxed as corporations). NMAC 12.3.4.11 lists the complete set of documents a domestic New Mexico LLC must file - articles of organization and a registered agent statement - with no report among them, in contrast to the cooperative-association rule in the same part, which does list annual reports. Registering an out-of-state LLC costs twice as much as forming one, at $100. Ancillary charges are $20 to reserve a name, $25 for a certificate for any purpose not otherwise specified, and $25 to certify documents.

New Mexico no longer accepts paper business filings at all - all business filings moved to the online portal at enterprise.sos.nm.gov - so there is no separate paper fee.

Corporate Franchise Tax: Flat $50 per year or partial year, and it is NOT owed by a typical LLC. New Mexico's Corporate Franchise Tax reaches only entities that count as a corporation for this purpose, and per FYI-350 "corporation" includes "limited liability companies and partnerships taxed as corporations under the Internal Revenue Code." An LLC left in its default classification as a partnership or disregarded entity therefore owes no annual entity-level tax to New Mexico. An LLC that elects corporate tax treatment owes the $50 on Form CIT-1.

Why the Corporate Franchise Tax is not in the total: Per FYI-350 the Corporate Franchise Tax reaches only LLCs taxed as corporations; an LLC left in its default classification owes nothing.

Neither the Limited Liability Company Act (NMSA 1978 Sections 53-19-1 to 53-19-74) nor NMAC 12.3.4.11 imposes any newspaper publication requirement on a New Mexico LLC.

Cost traps specific to New Mexico

No annual report does not mean no registered agent duty

Because New Mexico has no annual report, there is no yearly nudge from the State. An LLC that quietly loses its registered agent or registered office can still be administratively revoked under NMSA 1978 Section 53-19-66.1 with no missed filing to warn you.

Foreign registration costs double the domestic fee

NMSA 1978 Section 53-19-63(J) charges $100 to issue a registration to a foreign LLC, versus $50 for filing original articles of organization under subsection A.

Fees are not published on the public SOS website

New Mexico moved all business filings online and no longer publishes a fee schedule on sos.nm.gov; the amounts are only in NMSA 1978 Section 53-19-63 and inside the enterprise.sos.nm.gov portal, so quoted totals can be hard to verify before you pay.

Where these numbers come from

Every fee above was checked against New Mexico's own published sources on July 29, 2026 — the New Mexico Secretary of State fee schedule, the governing statute, and where a state-level tax applies, the state tax authority. Commercial formation-service pages were not used.

The first-year total is the Articles of Organization fee plus the first year of any recurring state charge. Where a state's first report is not due until the following year, that is noted above. The five-year total is the filing fee plus five years of recurring charges, which avoids the timing question entirely. Registered-agent service is excluded from all state figures. Confidence on this state is medium: The $50 formation fee, $100 foreign registration, $20 name reservation and $25 certificate fees are quoted verbatim from the enacted text of NMSA 1978 Section 53-19-63 as amended by Laws 2001 (SB 331, Section 81) on the New Mexico Legislature's own site, and the absence of any annual report is corroborated by NMAC 12.3.4.11, which enumerates every document a domestic NM LLC must file. The $50 Corporate Franchise Tax and its inapplicability to default-classified LLCs are now confirmed from FYI-350 Rev. 01/02/2025, a current Taxation and Revenue Department publication. Two caveats keep this at medium rather than high: (1) I confirmed the 2001 ENACTED text of Section 53-19-63 but could not load a current consolidated version from nmonesource.com, the official compilation, because it is a JavaScript application that returns no statute text to a fetcher; a targeted search of nmlegis.gov surfaced no post-2001 bill amending Section 53-19-63, and NMAC 12.3.4.11 still cites Sections 53-19-1 through 53-19-74 as the operative LLC statute, but I cannot positively rule out a later fee amendment. (2) The expedite fees ($150 same-day / $100 two-day) come from NMAC 12.3.1.9, a rule last amended in 2011 that still refers to the Public Regulation Commission, whereas business filings transferred to the Secretary of State in 2013 and are now online-only, so those tiers may no longer reflect current practice. Standard processing time remains null.
