Filing Fees & Formation Costs

Nebraska charges $100 to form an LLC, while Alaska charges $250. Nebraska is $150 cheaper upfront. The cost that usually gets overlooked: if you form in Alaska but operate in Nebraska, you must also register as a foreign LLC in Nebraska (a $100 filing) and maintain a registered agent in Alaska (typically around $150 per year). That puts the realistic first-year cost of the Alaska route at roughly $500, versus $100 for simply forming in Nebraska. Note that Nebraska also requires newly formed LLCs to publish a newspaper notice (Confirmed: Neb. Rev. Stat. § 21-193 requires notice of organization (and of amendment, merger, conversion, or domestication) to be published for three successive weeks in a legal newspaper of general circulation near the LLC's designated office, with proof of publication filed with the Secretary of State), which adds to the true formation cost. Only one side of this comparison is knowable: Alaska publishes instant online; 10-15 business days by mail, while Nebraska publishes no standard processing time, so the two can't be ranked against each other on speed.

Taxes: Nebraska vs Alaska

Alaska has no personal income tax while Nebraska does, but forming your LLC in Alaska won't change that. LLC profits pass through to you and are taxed where you live and operate (in Nebraska), not where the LLC is registered, so an Alaska LLC offers no income-tax savings for a Nebraska-based business. Nebraska levies individual income tax; under LB 754's phase-down codified at Neb. Rev. Stat. § 77-2715.03, the top rate is 4.55% for tax years beginning in 2026 (falling to 3.99% in 2027). Neither state imposes a separate franchise or privilege tax on LLCs beyond standard filing fees.

Privacy & Asset Protection

Nebraska, your home state, actually offers more formation privacy than Alaska: Nebraska allows anonymous LLC formation, while Alaska requires owner or manager information on public filings. The initial and biennial reports list all members/managers with their ownership percentages (public on the state database). Both states provide charging-order protection for LLC members, and for most small businesses the practical difference in asset protection between the two is minimal. From a privacy standpoint there's no reason for a Nebraska-based business to form in Alaska.
