Filing Fees & Formation Costs

Maryland charges $100 to form an LLC, while Nebraska charges $100. The upfront filing fees are identical. The cost that usually gets overlooked: if you form in Nebraska but operate in Maryland, you must also register as a foreign LLC in Maryland (a $100 filing) and maintain a registered agent in Nebraska (typically around $150 per year). That puts the realistic first-year cost of the Nebraska route at roughly $350, versus $100 for simply forming in Maryland. Note that Nebraska also requires newly formed LLCs to publish a newspaper notice (Confirmed: Neb. Rev. Stat. § 21-193 requires notice of organization (and of amendment, merger, conversion, or domestication) to be published for three successive weeks in a legal newspaper of general circulation near the LLC's designated office, with proof of publication filed with the Secretary of State), which adds to the true formation cost. Only one side of this comparison is knowable: Maryland publishes 6-8 weeks, while Nebraska publishes no standard processing time, so the two can't be ranked against each other on speed.

Taxes: Maryland vs Nebraska

Both Maryland and Nebraska levy a personal income tax on pass-through business income, and your LLC's profits will be taxed where you live and operate. Forming in Nebraska doesn't change what a Maryland-based owner pays. Nebraska levies individual income tax; under LB 754's phase-down codified at Neb. Rev. Stat. § 77-2715.03, the top rate is 4.55% for tax years beginning in 2026 (falling to 3.99% in 2027). Maryland LLCs owe a $300 minimum annual Personal Property Return fee.

Privacy & Asset Protection

Nebraska allows anonymous LLC formation. Member and manager names don't appear on routine public filings. No routine public filing names owners: the Certificate of Organization/foreign authority application requires only company name, designated office, and registered agent, and the biennial report under Neb. Rev. Stat. § 21-125 requires company name, designated office, agent, and principal office, no member or manager names anywhere. Maryland doesn't offer that same privacy. Maryland requires an authorized person on the Articles and files a Personal Property Return; management information is available on public filings. Both states provide charging-order protection for LLC members, and for most small businesses the practical difference in asset protection between the two is minimal. One important caveat: if you register your Nebraska LLC as a foreign LLC in Maryland, that Maryland registration is itself a public record, which can undercut much of the privacy benefit for a business that operates in Maryland.

Annual Maintenance Costs

Maryland LLCs file an annual report ($300, due April 15), and Nebraska LLCs file a biennial report ($25, due April 1, every two years). If you form in Nebraska while operating in Maryland, you maintain filings in both states, Nebraska's report plus Maryland's equivalent for your foreign registration, and pay a Nebraska registered agent roughly $150 per year. That brings ongoing costs of the Nebraska route to roughly $475 per year, versus about $300 to keep a domestic Maryland LLC in good standing. When Nebraska Actually Makes Sense

Forming in Nebraska makes sense in a few specific situations: you need anonymous ownership. Maryland puts owner or manager information on public filings and Nebraska doesn't (usually via a holding company, since operating in Maryland still requires a public foreign registration there), your business genuinely operates in Nebraska, with a real office, employees, or property there, or you're relocating to Nebraska in the near future. For a typical small business based in Maryland, none of these usually apply. Registering a Nebraska LLC to do business back home means $100 in Maryland foreign-registration fees, on top of Nebraska's $100 formation fee, while Maryland's own annual report runs $300 a year and is due April 15.
