How to File

   Choose Your New Registered Agent

   Select a new registered agent who is either a Minnesota resident or a business entity authorized to transact business in Minnesota. Ensure they have a physical street address (not a P.O. Box) in Minnesota and are available during business hours.

   Obtain Consent from New Agent

   Get written consent from your new registered agent before filing the change. Most professional services will provide this automatically, but if using an individual, document their agreement to serve as your agent.

   Complete the Statement of Change Form

   File a Statement of Change of Registered Office and/or Registered Agent with the Minnesota Secretary of State. This form updates your registered agent information on file.

   Submit Your Filing

   Submit your completed form online through the Minnesota Secretary of State website at https://www.sos.state.mn.us or by mail. The filing fee is $25 for online submissions.

5. 5

   Update Your Records

   Once approved, update your internal LLC records and notify banks, vendors, and other parties of your new registered agent information. The change becomes effective when filed with the state.
