Late Fee Facts at a Glance
What Happens If You Miss the Deadline
Immediately after January 2nd deadline
Alaska Department of Commerce sends notice of delinquency. LLC is considered not in good standing. $25 late fee is assessed in addition to the $100 filing fee.
30-60 days after deadline
Alaska sends final notice of intent to administratively dissolve. LLC remains not in good standing and cannot obtain certificates of good standing for business transactions.
60+ days after deadline
Alaska administratively dissolves the LLC. The business loses its legal status, liability protection ends, and the LLC cannot conduct business legally in Alaska.
How to Fix It: Step-by-Step
File Your Overdue Annual Report
Complete and submit Form 08-877 (Annual Report) through the Alaska Business License Information Network at https://www.commerce.alaska.gov. Include all required business information and officer details.
Pay All Outstanding Fees and Penalties
Submit payment for the $100 annual report fee plus the $25 late penalty ($125 total). Alaska accepts online payments, checks, and money orders made payable to 'State of Alaska'.
File for Reinstatement (If Already Dissolved)
If your LLC was administratively dissolved, file Articles of Reinstatement (Form 08-879) with the Alaska Division of Corporations. Pay reinstatement fees in addition to all overdue annual report fees.
Verify Good Standing Status
Request a Certificate of Good Standing from Alaska Department of Commerce to confirm your LLC is back in compliance. This certificate proves your business is legally authorized to operate.
